These Terms govern your access to and use of our services, including SignalShield cybersecurity services, Senior Tech Care technology support services, our customer portal, our partner portal, and all related websites and platforms (collectively, the 'Services').

By creating an account, subscribing to a plan, or otherwise accessing our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. These Terms constitute a legally binding agreement between you and District Tech Group Incorporated.
If you are accessing or using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and 'you' refers to both you individually and that entity.
You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that:
To access certain Services, you may be required to create an account. When you create an account, you agree to provide accurate, current, and complete information and to update that information to keep it accurate, current, and complete.
You are responsible for safeguarding the password or credentials used to access your account and for any activity that occurs under your account. You agree to notify us immediately at info@districttechgroup.com of any unauthorized use of your account. We are not liable for any losses caused by unauthorized use of your account.
Each individual or business entity may maintain only one active account unless expressly authorized otherwise by DTG in writing. Duplicate or fraudulent accounts may be suspended or terminated without notice.
DTG provides the following categories of services, each subject to applicable service-specific agreements or plan terms:
SignalShield provides managed cybersecurity services for individuals and businesses, including but not limited to endpoint protection, threat monitoring, incident response support, and compliance advisory services. Service-specific terms, service level commitments, and scope of coverage are defined in your selected plan and any applicable Statement of Work or Service Agreement.
Senior Tech Care provides technology support and education services for seniors in the DC Metro area, including device assistance, setup, troubleshooting, and technology workshops. Service availability, scheduling, and scope are defined in the applicable plan or service agreement.
DTG provides web-based portals for customers and partners to manage accounts, access service information, and communicate with DTG staff. Portal access is subject to these Terms and any applicable portal-specific guidelines.
DTG reserves the right to modify, suspend, or discontinue any Service at any time with reasonable notice to affected subscribers.
Certain Services are offered on a subscription basis. Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. Billing cycles and fees are specified at the time of purchase and in your account settings.
Payments are processed through Stripe. By providing payment information, you authorize DTG and its payment processors to charge the applicable fees to your payment method. You agree to maintain valid payment information in your account at all times. All payment data is handled in accordance with Stripe's privacy and security standards. We reserve the right to change subscription fees at any time. We will provide at least 30 days' advance notice of any price increase. Continued use of the Services after the price change takes effect constitutes your acceptance of the new fees.
Subscription fees are generally non-refundable except as required by applicable law or as expressly stated in your service agreement. If you believe you have been charged in error, please contact us at info@districttechgroup.com within 30 days of the charge.
Prices do not include applicable taxes. You are responsible for all taxes associated with your purchase of Services, except for taxes on DTG's net income.
You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:
Violations of this section may result in immediate suspension or termination of your access to the Services and may be referred to appropriate law enforcement authorities.
The Services and all content, features, and functionality — including but not limited to text, graphics, logos, icons, images, software, and the selection and arrangement thereof — are owned by DTG, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Subject to these Terms, DTG grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business or personal purposes as permitted by these Terms. You may not copy, modify, distribute, sell, or lease any part of the Services or the content therein without our prior written consent.
If you submit, upload, or transmit any data, content, or materials to the Services ('Your Content'), you retain ownership of Your Content. By submitting Your Content, you grant DTG a worldwide, royalty-free, non-exclusive license to use, store, and process Your Content solely as necessary to provide and improve the Services and as described in our Privacy Policy.
If you provide DTG with any feedback, suggestions, or ideas regarding the Services, you grant DTG an unrestricted, perpetual, irrevocable, royalty-free license to use and incorporate such feedback into the Services without any obligation to you.
In connection with the Services, each party may disclose to the other certain confidential or proprietary information ('Confidential Information'). Each party agrees to:
These obligations do not apply to information that: (a) is or becomes publicly known through no breach of these Terms; (b) was rightfully known before disclosure; (c) is independently developed without use of Confidential Information; or (d) is required to be disclosed by law or court order, provided the disclosing party gives reasonable prior notice where permitted.
Our Services may contain links to third-party websites, services, or resources that are not owned or controlled by DTG. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
We may also use third-party services to help us provide the Services, including payment processors, cloud infrastructure providers, and analytics tools. Your use of the Services may be subject to those third parties' terms and privacy policies. We encourage you to review those policies when you interact with third-party services.
Inclusion of any link does not imply endorsement of the linked site or service by DTG.
THE SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
DTG does not warrant that:
Cybersecurity services reduce risk but cannot guarantee absolute security. No security product or service can prevent all threats. DTG expressly disclaims any warranty that the Services will prevent all security incidents, data breaches, or cyberattacks.
Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not fully apply to you.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DTG AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL DTG'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO DTG IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow certain limitations of liability, so the above limitations may not fully apply to you.
You agree to defend, indemnify, and hold harmless DTG and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
You may cancel your subscription or close your account at any time through your account settings or by contacting us at info@districttechgroup.com. Cancellation takes effect at the end of the current billing period unless otherwise agreed.
DTG reserves the right to suspend or terminate your access to the Services, with or without notice, if:
Upon termination, your right to use the Services ceases immediately. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 7 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), and 14 (Governing Law).
These Terms and any disputes arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of Maryland and applicable federal law, without regard to conflict of law principles.
Before initiating formal legal proceedings, you agree to contact us at info@districttechgroup.com and attempt to resolve any dispute informally. We will make good-faith efforts to resolve disputes within 30 days of receiving written notice.
If informal resolution is unsuccessful, you agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in the State of Maryland, and you consent to the personal jurisdiction of those courts.
TO THE EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST DTG.
We may update these Terms from time to time. The updated version will be indicated by an updated 'Last updated' date at the top of this page. If we make material changes, we will notify you by email or by a prominent notice on our website at least 14 days before the changes take effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.
We encourage you to review these Terms periodically. If you do not agree with the updated Terms, you must stop using the Services and cancel any active subscriptions before the effective date.
